Terms of Use

1. Acceptance of Terms

By accessing, registering for, subscribing to, or using the Modern Edge Services ("Services"), you confirm that you have read, understood, and agree to these Terms of Use ("Terms"), together with our Privacy Policy and any additional policies that may apply. If you do not agree, do not use the Services.

If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Eligibility and Age Restriction

The Services are intended only for adults. You must be at least 18 years old to access, register for, or use the Services. By using the Services you represent that:

• You are at least 18 years of age;
• You have the legal capacity to enter into these Terms;
• You are legally permitted to use the Services in your jurisdiction;
• Your use does not violate any applicable law, regulation, or contractual obligation.

If we become aware that a person under 18 has created an account, we may suspend or delete it and remove the relevant information.

3. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. If changes are material, we may provide additional notice through the Services or by email. Your continued use after updated Terms become effective constitutes acceptance. If you do not agree, you must stop using the Services.

4. Description of the Services

Modern Edge provides AI-powered sports analytics and predictive intelligence tools. The Services may include, without limitation: sports statistics and data; predictive analytics; AI-generated or model-based insights; live monitoring tools; match, league, team, and player analysis; probability-based indicators; alerts and notifications; dashboards and filters; account-based features; subscription-based access; historical and live data feeds; and performance and accuracy indicators.

The Services are designed to support sports analysis and decision-making. They do not guarantee any outcome, result, profit, return, or success. Any predictions, probabilities, signals, or analytics are probabilistic and may be incomplete, inaccurate, or delayed.

5. No Gambling Operator — No Wagering Through Modern Edge

You are solely responsible for understanding and complying with the laws that apply in your jurisdiction. If sports betting or gambling is illegal or restricted where you are, you must not use the Services in a way that violates those restrictions. Modern Edge is not responsible for any decisions you make based on information provided through the Services.

6. User Accounts

To access certain features you may need to create an account. When doing so, you agree to provide accurate, complete, and current information and keep it updated. You are responsible for:

• Maintaining the confidentiality of your login credentials;
• Restricting access to your account;
• All activity that occurs under your account;
• Promptly notifying us of any unauthorized access or security breach.

You must not share, sell, transfer, or otherwise provide access to your account to another person. We may suspend or terminate your account if we believe your information is inaccurate, fraudulent, or in violation of these Terms.

7. Multi-Account Usage

You must not create, operate, or control multiple accounts for the purpose of bypassing subscription restrictions, abusing promotions, manipulating platform features, avoiding enforcement action, scraping data, sharing access, or otherwise misusing the Services. If we suspect multiple accounts are under common control in violation of these Terms, we may suspend, merge, or terminate such accounts.

8. Subscriptions and Billing

• Paid plans are billed in advance on a recurring basis through our payment processor.
• Unless you cancel before the end of the current billing cycle, your subscription will automatically renew under the same conditions.
• By purchasing a subscription, you authorize Modern Edge and its payment processors to charge the applicable fees to your selected payment method.
• You are responsible for keeping your billing and payment information accurate and up to date.
• If payment fails, your access to paid features may be suspended until payment is successfully completed.

9. Payment Processing

Payments may be processed by third-party payment processors including Stripe, Apple App Store, Google Play, or other billing providers. Modern Edge does not directly control third-party payment systems. Your payment may be subject to that provider's own terms, privacy policy, and refund rules.

10. Free Trials and Promotional Access

Modern Edge may offer free trials, promotional access, or discounted plans. The duration, eligibility, features, and conditions of any free trial will be specified at the time of the offer. If billing information is required to start a free trial, your subscription may automatically begin at the end of the trial period unless you cancel before it expires. Abuse of trials, promotions, or referral rewards is prohibited. Modern Edge reserves the right to modify, suspend, or discontinue any free trial or promotion at any time.

11. Fee Changes

We may change subscription fees or pricing structures from time to time. We will provide reasonable notice before a pricing change takes effect. If you do not agree to a fee change, you may cancel your subscription before the new fee becomes effective. Your continued use of paid Services after a fee change constitutes agreement to pay the updated fee.

12. Cancellations and Refunds

You may cancel your subscription through your account settings or the applicable payment provider. Cancellation typically takes effect at the end of the current billing period. Modern Edge does not guarantee refunds for subscriptions, unused periods, or digital services already accessed, except where required by applicable law. Refund requests may be reviewed on a case-by-case basis at our sole discretion.

13. Intellectual Property

The Services and all related content, technology, software, models, algorithms, designs, interfaces, graphics, logos, trademarks, databases, and other materials are owned by or licensed to Modern Edge and are protected by intellectual property laws. Except as expressly permitted by these Terms, you may not:

• Copy, reproduce, modify, distribute, sell, or exploit any part of the Services;
• Create derivative works based on the Services;
• Remove or alter copyright, trademark, or proprietary notices;
• Extract, scrape, harvest, or republish data from the Services;
• Use Modern Edge content to build or support a competing product or service.

14. Limited License to Use the Services

Subject to your compliance with these Terms, Modern Edge grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own personal, lawful, non-commercial use. This license does not give you ownership of the Services or any content provided through them. You may not use the Services for commercial purposes without Modern Edge's express written authorization.

15. User Content and Feedback

If you submit feedback, suggestions, or other content to Modern Edge, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, store, display, and distribute such content as necessary to operate and improve the Services. If you provide feature requests or recommendations, Modern Edge may use them without restriction, compensation, or obligation to you.

16. Prohibited Uses

You agree not to use the Services to:

• Violate any applicable law or regulation;
• Scrape, crawl, harvest, or extract data without authorization;
• Use bots, scripts, or automated tools without permission;
• Reverse engineer, decompile, or attempt to derive source code;
• Interfere with or disrupt the Services or its security;
• Bypass access controls, paywalls, or subscription limits;
• Share, sell, or transfer account access to another person;
• Upload or transmit viruses, malware, or harmful code;
• Misrepresent our outputs as guaranteed results or betting advice;
• Sell, resell, distribute, or commercially exploit Modern Edge analytics without written permission.

17. Accuracy of Analytics and AI-Generated Information

Modern Edge uses algorithms, statistical models, machine learning, artificial intelligence, historical data, and live data feeds to generate analytics and insights. You acknowledge and agree that:

• Sports outcomes are uncertain;
• Predictive analytics are probabilistic, not guaranteed;
• Data may be delayed, inaccurate, incomplete, or unavailable;
• Models may produce incorrect or unexpected outputs;
• Past performance does not guarantee future results;
• No prediction, rating, or signal should be treated as a guarantee.

You are solely responsible for your own decisions and actions.

18. Responsible Use

You are responsible for using the Services responsibly and in compliance with applicable laws. You should not rely solely on Modern Edge to make financial, betting, gambling, or other high-risk decisions. If you choose to participate in sports betting or gambling outside of Modern Edge, you should do so only where legal, only if you are of legal age, and only in a responsible manner.

19. Third-Party Links and Data

The Services may contain links or references to third-party websites, data providers, payment providers, or app stores. Modern Edge does not own or control third-party services and is not responsible for their content, availability, accuracy, terms, or security. Your use of third-party services is at your own risk.

20. Termination and Suspension

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe that you have violated these Terms, misused the Services, failed to make payment, or created risk or legal exposure for Modern Edge. You may stop using the Services at any time. Upon termination, your right to access the Services will immediately cease. Provisions that by their nature should survive termination will do so.

21. Privacy Policy

Your use of the Services is governed by the Modern Edge Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.

22. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Modern Edge, its affiliates, owners, directors, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: your access to or use of the Services; your violation of these Terms; your violation of applicable law; your violation of third-party rights; any activity under your account; or any decisions or actions you take based on the Services.

23. Warranty Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MODERN EDGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ERROR-FREE OPERATION, AND PROFITABILITY. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

24. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MODERN EDGE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSSES RELATED TO SPORTS BETTING OR GAMBLING ACTIVITY, SERVICE INTERRUPTION, OR INACCURATE ANALYTICS. MODERN EDGE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO MODERN EDGE DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

25. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida. You and Modern Edge each consent to personal jurisdiction in those courts.

26. Dispute Resolution

Before initiating any formal legal proceeding, you agree to first contact Modern Edge at hello@modernedge.ai and attempt to resolve the dispute informally for at least 30 days.

If informal resolution fails, disputes shall be resolved in the courts described in Section 25. Where permitted by applicable law, you and Modern Edge each waive the right to a jury trial and agree that any dispute must be brought on an individual basis only — not as part of any class, collective, consolidated, or representative action. If a court finds this class action waiver unenforceable, the dispute will be resolved in court rather than arbitration.

27. Waiver and Severability

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

28. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Modern Edge may assign, transfer, or delegate its rights and obligations in connection with a merger, acquisition, reorganization, or sale of assets.

29. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms referenced by Modern Edge, constitute the entire agreement between you and Modern Edge regarding the Services and supersede all prior understandings or agreements.
